Terms for using the Stage-Gate® Trademark What is a trademark?

     


Stage-Gate® is a registered trademark. In the European Union the owners of this trademark are Dr. Robert. G. Cooper, Product Development Institute and Jens Arleth, Stage-Gate.EU®. In North America the owner is Robert. G. Cooper, Product Development Institute.

Fundamental terms
Stage-Gate trademark  You must have permission in writing from Stage-Gate.EU® to use the Stage-Gate® trademark.
Stage-Gate trademark  You must always use the format "Stage-Gate®".
  Wrong ways to write Stage-Gate®: Once in a while we observe the use of forms like Stage/Gate, STAGE GATE, stage-gate, StageGate, Phase-Gate, Gate-process or similar. These forms can easily be confused with Stage-Gate®. Hereby they violate our trademark rights and are illegal according to the trademark legislation.
  In your material you must write: "Stage-Gate® is a trademark of Stage-Gate.EU®"You can write this either as a footnote at the page, where you use the term Stage-Gate® or as an endnote if you use the term at several pages of your document.
  The Stage-Gate® trademark may not be used in connection with any kind of external training or consulting that competes with Stage-Gate.EU®
  If you write "Stage-Gate®" at a web page, this page must have at least one visible link to www.stage-gate.eu". The way to do this is that the word "Stage-Gate®" has a link to "http://www.stage-gate.eu/"  the first time it appears in your HTML document. This will look the following way: Stage-Gate®

Further details of the terms
By clicking on " I accept the terms for using the Stage-Gate® trademark" at the application form, you will accept the agreement between you and Stage-Gate.EU® and therefore agree to and be bound by the terms and conditions of the agreement. If you have filled out the agreement in error, or do not wish to be bound by the agreement for any reason, you may annul your acceptance by returning the agreement, along with a signed written statement of your desire to annul the agreement, to: Stage-Gate.EU®, Hyldebakken 7, 2605 Brøndby, Denmark. Upon annulment of the agreement, you must immediately cease the usage of the Stage-Gate® trademark, remove the trademark from all your official related distributions and all rights granted under the agreement shall immediately terminate.

1. Definitions
"Use" or "Using" means using the Stage-Gate® trademark in any official relation.

2. User license
    2.1 License
Subject to the terms of this agreement, Stage-Gate.EU® grants you a non-exclusive, non-transferable, European, royalty-free license to use the trademark as set forth in this document.

2.2 Transfer.
You may not rent, lease, sublicense, assign or transfer your rights under this agreement.

3. Trademark Use. Trademark license grant
Stage-Gate.EU® grants to you, and you accept, a European, royalty-free, nonexclusive, non-transferable right to use, under the terms of this agreement, the Stage-Gate® trademark as specified in the agreement.
Use of the trademark does not give you any right or title in the trademark, other than the license rights granted herein. You may not assign, transfer or sublicense any trademark right granted herein. You agree not to use the trademark in any way that will disparage Stage-Gate® or injure the reputation of Stage-Gate®. You acknowledge the validity of the trademark and Robert G. Cooper, Product Development Institute and Jens Arleth, Stage-Gate.EU®'s sole ownership of the trademark, and that these retain all right, title and interest in and to the trademark. You recognise the value of the goodwill associated with the trademark, and acknowledge that such goodwill inures exclusively to the benefit of and belongs to Stage-Gate.EU®.

You shall employ best efforts to use the trademark in a manner that does not derogate from Stage-Gate.EU®'s rights in the trademark and will take no action that will interfere with or diminish Stage-Gate.EU®'s rights in the trademark. You may not use the trademark in any way as an endorsement or sponsorship by Stage-Gate.EU® of any product or service.

You agree not to adopt or use a trademark, service mark, or any other designation confusingly similar to the trademark. Upon reasonable request from Stage-Gate.EU®, you will notify Stage-Gate.EU® of the locations of your use of the trademark and furnish Stage-Gate.EU® with suitable specimens of such use.
If Stage-Gate.EU® so requests, you agree to submit to Stage-Gate.EU any uses of the trademark for Stage-Gate.EU®'s approval prior to the dissemination of these materials, such approval not to be unreasonably withheld.
You agree to undertake such steps as Stage-Gate.EU® may reasonably request to assist in monitoring and maintaining the quality and form of use of the trademark. Stage-Gate.EU® may review your use of the trademark at any time to evaluate your compliance with the quality standards described in this agreement.
If at any time Stage-Gate.EU® determines that you are not maintaining adequate quality standards, you shall be considered in breach of this agreement and subject to the termination provisions of Section 4. You must immediately remedy any material deficiencies in your use of the trademark upon reasonable notice from Stage-Gate.EU®.

4. Term
This agreement is effective until terminated. Unless otherwise specified, Stage-Gate.EU® has the right to terminate this agreement (a) without cause upon 6 months written notice, or (b) immediately if you fail to comply with any term of this agreement. Upon any such termination, you must cease all use of the trademark.

5. General Provisions
If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of this agreement, which shall remain valid and enforceable according to its terms. This agreement shall not prejudice the statutory rights of any party dealing as a consumer. This agreement may only be modified by writing signed by an authorised officer of Stage-Gate.EU®. This is the entire agreement between Stage-Gate.EU® and you relating to usage of the trademark and it supersedes any prior representations, discussions, undertakings, communications or advertising relating to the trademark.
